Terms of Service

Welcome to LiveVibe! These Terms of Service ("Terms") govern your access to and use of the LiveVibe mobile application (the "App") and related services (collectively, the "Services") provided by LiveVibe LLC ("we," "us," or "our").

1. Acceptance of Terms

By accessing or using LiveVibe, you agree to:

• Comply with these Terms and all applicable laws and regulations
• Our Privacy Policy, which is incorporated by reference
• Receive communications from us electronically

We may modify these Terms at any time. Continued use of the Services after changes constitutes acceptance of the modified Terms.

2. Eligibility

To use LiveVibe, you must:

• Be at least 21 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Services under applicable laws
• Not have been previously banned from LiveVibe

By using the Services, you represent and warrant that you meet these eligibility requirements. We reserve the right to terminate any account we reasonably believe is held by a user under 21.

Note: LiveVibe is rated 17+ on the Apple App Store based on Apple's content rating categories. Notwithstanding that App Store rating, you must be 21 or older to create an account and use the Services.

Alcohol Laws: The legal drinking age in the United States is 21. Users are solely responsible for complying with all applicable federal, state, and local laws regarding alcohol consumption. LiveVibe does not sell, deliver, or facilitate the purchase of alcoholic beverages.

3. Account Registration and Security

3.1 Account Creation

• You must provide accurate, complete, and current information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must not create accounts for fraudulent or unlawful purposes
• One person or business may not maintain more than one account without our permission

3.2 Account Security

• You are responsible for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breaches
• We are not liable for losses caused by unauthorized use of your account

3.3 Account Types

• Personal Accounts: For individual users to discover venues and connect with friends
• Business Accounts: For venue owners and operators, subject to additional terms

4. Acceptable Use

4.1 Permitted Use

You may use LiveVibe to:

• Discover nightlife venues and events
• Connect with friends and other users
• Share experiences and content related to nightlife via ephemeral 24-hour stories
• Like and interact with stories posted by users you follow
• Send and receive private messages with mutual followers
• Receive personalized venue and user discovery recommendations
• Receive push notifications for messages, follows, and story likes
• View real-time venue information and crowd data

4.2 Prohibited Conduct

You agree NOT to:

• Violate Laws: Use the Services for any illegal purpose or in violation of any laws
• Harassment: Harass, bully, stalk, threaten, or abuse other users via messages, stories, or other features
• Impersonation: Impersonate any person or entity, or falsely represent your affiliation
• Spam: Send unsolicited commercial messages or spam through messaging or stories
• Malicious Content: Upload viruses, malware, or malicious code
• Scraping: Use automated systems to access or collect data from the Services
• Automated Activity: Use bots or automation to send messages or bulk follow/unfollow users
• Interference: Interfere with or disrupt the Services or servers
• Reverse Engineering: Attempt to reverse engineer, decompile, or hack the App
• False Information: Provide false location data, fake reviews, or misleading information
• Unauthorized Commercial Use: Use a Personal Account for commercial solicitation or promotional purposes; verified Business Accounts are available and permitted for commercial use
• Account Manipulation: Buy, sell, or transfer accounts

5. User Content

5.1 Your Content

You retain ownership of content you post on LiveVibe ("User Content"), including posts, photos, comments, and messages. By posting User Content, you grant us a limited, worldwide, non-exclusive, royalty-free license to:

• Store, reproduce, and display your User Content within the Services
• Distribute your User Content to other users of the Services

This license is solely for the purpose of operating and providing the Services. It does not include the right to use your content for advertising, promotional purposes, or outside the Services without your explicit consent. This license ends when you delete the content or your account, except where the content has been shared with others who have not deleted it.

5.2 Content Responsibilities

You are solely responsible for your User Content. You represent and warrant that:

• You own or have rights to post your User Content
• Your User Content does not violate any third-party rights
• Your User Content complies with these Terms and applicable laws

5.3 Prohibited Content

You may not post User Content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, or invasive of privacy
• Contains hate speech, discrimination, or promotes violence
• Is sexually explicit or contains nudity (except in permitted contexts)
• Infringes intellectual property rights, including copyrights and trademarks
• Contains personal information of others without consent
• Promotes illegal drugs, weapons, or dangerous activities
• Is spam, advertising, or promotional content (unless authorized)
• Contains false or misleading information

5.4 Content Moderation

All user-generated content (images and text) is automatically scanned by third-party AI moderation services (Sightengine) before being published to ensure compliance with our Community Guidelines. This automated review helps us maintain a safe community by detecting inappropriate content.

We reserve the right to:

• Remove or modify User Content that violates these Terms
• Monitor and review User Content for compliance using automated AI tools and human moderators
• Use third-party content moderation services to scan images and text
• Take action against accounts that violate our policies
• Make final moderation decisions that may be appealed through our support team

6. Location Services and Data

6.1 Location Permissions

LiveVibe requires access to your location to provide core functionality, including:

• Showing nearby venues and recommendations
• Calculating real-time crowd data
• Providing accurate venue information

6.2 Background Location

You may grant permission for background location access. This allows us to:

• Provide more accurate crowd data
• Send relevant notifications about nearby venues
• Improve service quality and recommendations

You can revoke location permissions at any time through your device settings, but this may limit functionality.

6.3 Business Analytics

When you visit venues tracked by our geofencing system, we collect anonymized demographic information (age range, gender) to provide venue owners with aggregate audience insights. This data is anonymized and cannot be used to identify individual users. Venue analytics help businesses understand their customer demographics while protecting your privacy.

7. Intellectual Property

7.1 Our Rights

LiveVibe and all its content, features, and functionality are owned by LiveVibe LLC and are protected by copyright, trademark, and other intellectual property laws. This includes:

• The LiveVibe name, logo, and branding
• Software code and architecture
• Design, layout, and user interface
• Algorithms and technology

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use LiveVibe in accordance with these Terms. Personal Account holders may use the Services for personal, social purposes. Business Account holders may use the Services for permitted commercial purposes as described in Section 3.3. This license does not include:

• Any resale or commercial use of the Services
• Downloading or copying content (except as intended)
• Use of data mining, robots, or similar tools
• Any derivative use of the Services

8. Stories and Messaging

8.1 Stories

Stories are ephemeral photo posts that automatically expire and are permanently deleted 24 hours after posting. All story images and captions are automatically reviewed by our AI content moderation system before being published. You may like stories posted by users you follow, and story owners receive notifications of these likes.

8.2 Private Messaging

Direct messages are only available between mutual followers (both users must follow each other) or with verified users. Messages are automatically deleted 24 hours after being viewed. You may delete entire conversations at any time. We do not read private messages except as required for safety investigations or legal compliance.

8.3 Push Notifications

LiveVibe sends push notifications for new messages, new followers, and story likes. You may manage notification preferences in your device settings at any time. Disabling notifications will not affect your ability to use the app.

8.4 User Discovery

LiveVibe may suggest users you may want to follow based on who you do not currently follow. These suggestions are refreshed periodically and when you pull to refresh the app. You may follow or dismiss suggested users at any time.

9. Third-Party Services and Links

LiveVibe may contain links to third-party websites or services, including:

• Venue websites and social media
• Payment processors
• Mapping services
• Social media platforms

We are not responsible for third-party services, their content, or their privacy practices. Your use of third-party services is at your own risk and subject to their terms.

10. Venue Information and Accuracy

While we strive to provide accurate venue information, we do not guarantee:

• The accuracy, completeness, or timeliness of venue data
• The accuracy of real-time crowd data or occupancy headcounts, which are estimates derived from user location signals and may not reflect actual venue conditions
• Availability of venues, events, or services
• Pricing or promotional information

Venue information and crowd data are provided "as is." You should verify details directly with venues before visiting. Any decisions you make based on information displayed in the App are made at your own risk.

11. Safety and Responsibility

By using LiveVibe, you acknowledge that:

• You are responsible for your own safety and decisions
• Meeting people through the App carries inherent risks
• Venue attendance and nightlife activities involve risks
• We cannot verify the identity or intentions of users

12. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy. By using LiveVibe, you consent to our data practices as described in the Privacy Policy.

US Users Only: LiveVibe is intended for use in the United States. If you are an EU/EEA resident, please do not use the Services.

13. Payments and Subscriptions

13.1 Free Services

Basic LiveVibe features are currently free to use.

13.2 Future Premium Features

We may introduce paid features or subscriptions in the future. Additional terms will apply to paid services, including:

• Pricing and billing terms
• Cancellation and refund policies
• Auto-renewal terms

13.3 In-App Purchases

All purchases are processed through the Apple App Store or Google Play Store and are subject to their terms and policies.

14. Termination

14.1 Termination by You

You may delete your account at any time through the App settings. Upon deletion:

• Your access to the Services will be terminated
• Your personal data will be deleted in accordance with our Privacy Policy
• Some information may be retained for legal or operational reasons

14.2 Termination by Us

We may suspend or terminate your account at any time, with or without notice, for:

• Violation of these Terms
• Illegal or harmful conduct
• Requests by law enforcement
• Extended periods of inactivity
• Technical or security reasons
• Any reason at our sole discretion

14.3 Effect of Termination

Upon termination:

• Your right to use the Services immediately ceases
• We may delete your User Content
• Provisions that should survive termination remain in effect

15. Disclaimers and Limitation of Liability

15.1 Disclaimer of Warranties

LIVEVIBE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• That the Services will be uninterrupted, secure, or error-free
• That defects will be corrected
• That the Services are free of viruses or harmful components
• The accuracy, reliability, or completeness of content

15.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIVEVIBE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Personal injury or property damage
• Damages arising from your use or inability to use the Services
• User Content or conduct of other users
• Unauthorized access to your data

OUR TOTAL LIABILITY SHALL NOT EXCEED $100 OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, WHICHEVER IS GREATER.

15.3 Basis of the Bargain

You acknowledge that these limitations are a fundamental basis of the agreement between you and LiveVibe LLC.

16. Indemnification

You agree to indemnify, defend, and hold harmless LiveVibe LLC and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including attorney's fees) arising from:

• Your use of the Services
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your violation of any applicable laws

17. Dispute Resolution

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

17.2 Arbitration Agreement

You and LiveVibe LLC agree to resolve any disputes through binding arbitration, except for:

• Claims in small claims court
• Intellectual property disputes
• Requests for injunctive relief

The arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You and we agree to waive the right to a jury trial and class action participation.

17.3 Class Action Waiver

You agree to bring claims only in your individual capacity and not as part of any class or representative action. You waive the right to participate in a class action lawsuit or class-wide arbitration.

18. Miscellaneous

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LiveVibe LLC regarding the Services.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

18.3 Waiver

Our failure to enforce any provision shall not constitute a waiver of that or any other provision.

18.4 Assignment

You may not assign or transfer these Terms or your account. We may assign these Terms without restriction.

18.5 Force Majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control.

18.6 Export Controls

You agree to comply with all applicable export and import laws when using the Services.

18.7 Survival

Provisions that by their nature should survive termination shall survive, including but not limited to: ownership, warranty disclaimers, indemnification, and limitations of liability.

19. Changes to Terms

We may modify these Terms at any time by:

• Posting the revised Terms in the App
• Updating the "Last Updated" date
• Providing notice for material changes

Your continued use after changes constitutes acceptance of the modified Terms. If you do not agree to changes, you must stop using LiveVibe and delete your account.

20. DMCA Copyright Policy

LiveVibe respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). We have registered a Designated Agent with the U.S. Copyright Office (Registration No. DMCA-1064865) to receive notices of claimed copyright infringement.

20.1 To Submit a Takedown Notice

If you believe content on LiveVibe infringes your copyright, send a written notice containing:

• Your physical or electronic signature
• Identification of the copyrighted work claimed to be infringed
• Identification of the infringing material and its location on the platform
• Your contact information (address, phone, email)
• A statement that you have a good faith belief the use is not authorized
• A statement under penalty of perjury that the information is accurate and you are the copyright owner or authorized to act on their behalf

20.2 Designated Agent

20.3 Counter-Notification

If you believe your content was removed in error, you may send a counter-notification to the address above. We will forward it to the original complainant. If we do not receive notice of a court action within 10–14 business days, we may restore the content.

20.4 Repeat Infringers

LiveVibe will terminate accounts of users who are determined to be repeat infringers under appropriate circumstances.

21. Contact Information

These Terms of Service are effective as of February 21, 2026. By using LiveVibe, you acknowledge that you have read, understood, and agree to be bound by these Terms.
